Thanks for using Cayad Services LLC's website. These following terms and conditions of use ("TOU") apply to your use of our website and the content contained therein ("Site"). The following TOU and our Privacy Policy define your use of our website, and related products and services. By using this Site, you accept these TOU so please review them carefully. If you are an employee or agent of an organization, by using our Site and/or services, you agree to the TOU on behalf of your organization. The terms "you", "your" and "yours" mean you, the user. The terms "we", "us", "our", "ours", and "Cayad" mean Cayad Services LLC.

• Obtain proper consent from your customers before sending them messages
• Not use our WhatsApp integration for any illegal activities
• Respect the 24-hour customer service window for free-form messaging

9. Third Party Services

The Service may enable linkage between various online third-party services such as third party websites, email, cloud storage, social, and similar services ("Third-Party Services"). Your use of Third-Party Services is governed solely by the agreement between you and the provider of such Third-Party Service, and Cayad is not liable for any loss or claim that you may have against any such third party.

You agree to indemnify, defend and hold Cayad and our partners, affiliates and our and their employees, officers, directors harmless from and against any and all liabilities arising from your violation of these TOU or use of the Services.

11. Disclaimer

WE DO NOT WARRANT THAT ACCESS TO OR USE OF THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE. THE SERVICES AND INFORMATION ON THE SITE IS PROVIDED ON AN "AS IS," "AS AVAILABLE" BASIS. CAYAD DISCLAIMS ALL WARRANTIES OF ANY KIND, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12. Limitation of Liability

UNDER NO CIRCUMSTANCES WILL CAYAD BE LIABLE OR RESPONSIBLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE, OR OTHER DAMAGES ARISING OUT OF OR IN ANY WAY RELATING TO THE SITE, YOUR SITE USE, OR THE CONTENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

13. Arbitration

Any dispute, controversy, or claim between us arising out of or relating in any way to these TOU, and/or any of Cayad's offerings, Services, Site, content or software will be resolved by binding arbitration, rather than in court. The arbitration will be conducted by the National Arbitration Mediation ("NAM") under its rules. The arbitration will take place in St. Petersburg, Florida.

14. Class Action Waiver

We each agree that any dispute resolution proceedings or lawsuits, whether in arbitration or in a court of law, will be conducted only on an individual basis and not in a class or representative action.

15. Applicable Law

You agree that the laws of the State of Illinois, without regard to conflicts of laws provisions will govern these TOU and any dispute that may arise between you and Cayad or its affiliates.
